Welcome to the digital platform of YIN Bar and YANG Club, premium nightlife and entertainment concepts owned and operated under Hr Millennium Pte Ltd (UEN: 201623286G) (collectively referred to as "the Company", "we", "us", or "our").

By entering, navigating, or executing transactions on this website (www.yinyang.sg) and its associated electronic reservation systems, digital guestlists, or event ticketing engines (collectively, the "Platform"), you establish a legally binding agreement to comply with these Terms and Conditions ("Terms"). If you disagree with any clause outlined below, you must immediately terminate your use of this Platform.

1. Scope of Agreement and Venue Operations

This Platform acts as the primary digital interface for YIN Bar and YANG Club, physically situated at 3A River Valley Road, #01-02 Clarke Quay, Singapore 179020. All online booking mechanics, electronic ticketing, corporate hospitality partnerships, and physical club operations are legally governed by Hr Millennium Pte Ltd.

2. Authorized Use of the Platform

You are granted a restricted, non-transferable, revocable, and personal license to utilize this Platform solely to explore event lineups, join digital guestlists, secure VIP sofa spaces, or purchase admission tickets.

You are strictly prohibited from:

  • Using automated web crawlers, data scrapers, extractors, or bots to harvest event schedules, pricing indices, or backend data streams from the Platform.

  • Interfering with, disabling, or bypassing any security-related features or digital rights management protocols on the Platform.

  • Supplying fictitious, fraudulent, or identity-theft credentials when processing online ticket purchases or table bookings.

3. Proprietorship of Intellectual Property

All elements comprising this Platform—including text layouts, venue descriptions, club logos, custom graphics, user interface designs, audio-visual show reels, event photography, and underlying source code—are the exclusive intellectual property of Hr Millennium Pte Ltd.

These materials are heavily protected under Singapore and international trademark, trade secret, and copyright statutes. Any unauthorized replication, redistribution, public exhibition, or commercially driven manipulation of our media assets without explicit, prior written sanction from our corporate office is strictly illegal.

4. VIP Table Reservations, Bottle Packages, and Guestlists

Securing premium space or priority entry via our electronic booking modules requires adherence to the following structural policies:

  • Credential Verification: You must furnish an authentic name, active mobile contact number, and verified email address. Bookings linked to unverified or phantom communication channels will be purged automatically.

  • Table Minimum Spends and Holds: VIP table allocations carry strict minimum spending thresholds depending on the specific event night, performing artist, or venue zone. Management reserves the complete right to release your table hold to waiting patrons if your party fails to arrive within the designated venue check-in window.

  • Guestlist Allocation Limits: Registering for an online guestlist acts as an application for entry privileges and does not guarantee access. Guestlist entries are subject to strict capacity caps, arrival time cutoffs, and door management protocols.

5. Special Event Ticketing and E-Passes

All digital admission passes, concert tickets, or themed event entries purchased through the Platform are bound by these definitive terms:

  • Absolute Non-Refundability: All financial transactions executed for electronic entry passes are final. Tickets are strictly non-refundable, non-exchangeable for credit, and non-extendable under any circumstances, including your inability to attend the event.

  • Anti-Scalping Directives: Tickets bought on this Platform are intended for personal use. The unauthorized commercial resale or inflation of ticket prices on third-party secondary marketplaces is strictly forbidden. We reserve the right to permanently void tampered or resold tickets without financial remediation.

6. Strict House Rules, Entry Discretion, and Code of Conduct

Physical admission into YIN Bar and YANG Club is subject to stringent security controls. Compliance with the following guidelines is non-negotiable:

  • Legal Age Verification: Patrons must meet the legal age requirements mandated for venue entry. Original, government-issued photo identification (such as NRIC, digital Singpass profile, or international passport) must be physically presented to security teams at the entrance. Digital screenshots or paper photocopies will be rejected.

  • Dress Code Enforcements: We maintain a sophisticated nightlife dress code. Security personnel retain the absolute right to deny entry to anyone wearing casual sports attire, singlets, sandals, or sandals with straps.

  • Refusal of Admission: The club management and security enforcement teams hold absolute, unchallengeable discretion to deny entry or physically eject any individual who displays rowdy, abusive, overly intoxicated, or threatening behavior, or whose presence threatens the safety and enjoyment of other patrons. Ejected individuals forfeit all rights to ticket or table refunds.

7. Third-Party Web Links and Infrastructure Integrations

Our online layout embeds third-party application interfaces to execute secure credit card payments, distribute automated ticket barcodes, and process live table layouts. We do not supervise, own, or assume financial or legal accountability for the operational stability, server downtimes, or privacy flaws found within these external third-party digital ecosystems.

8. Absolute Disclaimer of Warranties

This Platform, its content features, and all ticket reservation mechanics are delivered to you on an "as is" and "as available" basis. Hr Millennium Pte Ltd issues no warranties, express or implied, regarding the continuous availability, error-free operation, or virus-free status of the digital network, nor do we promise that the real-time seat availability maps are entirely free of technical delays.

9. Structural Limitation of Liability

To the maximum extent permitted under the laws of Singapore, Hr Millennium Pte Ltd, along with its corporate directors, shareholder boards, nightlife managers, and door security teams, shall not be held liable for any direct, indirect, incidental, or consequential damages, losses, or expenses. This includes, without limitation, injuries, lost profits, or data corruption arising from your use of the Platform or unexpected security incidents occurring beyond our direct operational control.

10. Indemnification Obligations

You agree to fully defend, indemnify, and hold harmless Hr Millennium Pte Ltd, its corporate parent networks, venue directors, and nightclub staff from any third-party legal claims, regulatory fines, damages, demands, and operational liabilities (including all legal defense fees on a full indemnity basis) stemming from your violation of these Terms, your misuse of the Platform, or your infringement of public order regulations within our physical premises.

11. Revisions and Structural Amendments

We reserve the unchallengeable right to modify, rewrite, adjust, or append clauses within these Terms and Conditions at any moment, without providing individual notifications to users. Revised terms go into effect the exact second they are updated on this page. Your continued navigation of our web systems constitutes your binding acceptance of the modified legal framework.

12. Severability of Terms

If a court of competent jurisdiction or statutory body rules that any specific clause or sub-section within these Terms is invalid, illegal, or unenforceable, that particular element will be severed from the document. The remaining terms will continue to hold full legal validity and enforceability.

13. Governing Law and Legal Jurisdiction

These Terms and Conditions, alongside all digital and physical interactions linked to YIN & YANG, are governed exclusively by the laws of the Republic of Singapore. Any unresolvable legal disputes, claims, or lawsuits originating from these terms must be settled exclusively within the courts of Singapore.
